NEVADA SUNRISE CLOSES $1.055 MILLION PRIVATE PLACEMENT

Nevada Sunrise Metals Corp. has closed the second and final tranche of its non-brokered private placement first announced on June 8, 2026, in the amount of 633,500 units at a price of three cents per unit for gross proceeds of $19,005. The first tranche closed on July 7, 2026, in the amount of 34,536,282 units at a price of three cents per unit for gross proceeds of $1,036,088.46, giving the combined total gross proceeds for the first and second tranches of $1,055,093.46 for the sale of 35,169,782 units.

Each unit consists of one common share of the company and one common share purchase warrant. Each warrant will entitle the holder to purchase one common share at a price of five cents for a period expiring three years following the closing dates of the first and second tranches of the offering.

In connection with closing the first tranche, the company paid finders' fees to Canaccord Genuity Corp. of 6 per cent in cash totalling $12,600 and issued 420,000 finders' warrants, representing 6 per cent of the units placed by the finders. Each finder's warrant will entitle the holder to purchase one common share in Nevada Sunrise at a price of five cents per common share, exercisable for a period expiring three years following the closing date of the offering. No finders' fees were paid in connection with the second tranche.

The offering was available to accredited investors and individuals that qualified under certain other statutory exemptions. The securities issued pursuant to the first tranche will be subject to a statutory four-month hold period expiring Nov. 8, 2026, and the securities issued pursuant to the second tranche will be subject to a statutory four-month hold period expiring Nov. 24, 2026, during which time the securities may not be traded. The offering is subject to the acceptance of the TSX Venture Exchange.

Three insiders of the company subscribed for a total of 800,000 units in the first tranche and one insider subscribed for 100,000 units in the second tranche. Participation by the insiders constitutes a related party transaction as defined under Multilateral Instrument 61-101. The company is relying on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, as the fair market value of the participation by insiders in the first tranche and second tranche of the offering does not exceed 25 per cent of the market capitalization of the company, as determined in accordance with MI 61-101.

Net proceeds of the first and second tranches of the offering are anticipated be used for operating expenses and outstanding payables, as follows:

  • Mineral exploration expenditures and mineral property option payments -- $700,000;
  • Investor relations and promotion -- $69,500;
  • Management fees and salaries due to non-arm's-length parties to the company -- $195,000;
  • Other outstanding payables and unallocated working capital -- $77,993.
