NORTHERN GRAPHITE ENGAGES GERMANY'S DGWA TO SUPPORT EUROPEAN INVESTOR & CORPORATE ACTIVITIES
Northern Graphite Corp., through its German-based subsidiary, Northern Graphite Battery Materials GmbH (NGCBM), has engaged DGWA -- Deutsche Gesellschaft fur Wertpapieranalyse GmbH -- on a non-exclusive basis to support investor awareness and communications activities in Europe.
DGWA's mandate will be to support the company in expanding its profile among European strategic investors, institutional funds, family offices and industry participants. It will include investor and media relations and corporate activities, with a focus on positioning the company in German-speaking markets with investors, policy players and industry stakeholders. These activities are intended to increase awareness of Northern among European retail and institutional investors, potential offtake partners, and government organizations.
"In DGWA, we have an experienced and well-connected partner by our side to significantly enhance our visibility in the European market, where the automotive sector is playing a pivotal role in building transparent, independent supply chains for critical minerals," said Northern chief executive officer Hugues Jacquemin.
"We are excited to support Northern Graphite in expanding its growth and capital markets strategy across Europe and introducing the company to potential offtake partners. Northern Graphite is not just a developer, but a proven producer capable of delivering scalable, sustainable graphite solutions outside of traditional supply monopolies," said DGWA CEO Stefan Muller.
The engagement commenced effective Sept. 1, 2026, for an initial three-month term and will subsequently continue on a month-to-month basis. NGCBM will pay DGWA a monthly cash retainer of 5,000 euros plus applicable value-added tax.
DGWA may also be entitled to success fees for transactions it directly introduces and materially assists in completing. These comprise 8 per cent of gross proceeds received from qualifying equity financings, subject to an aggregate cap of one million euros and the deduction of applicable retainer payments, and 2 per cent of funds actually received from qualifying debt financings, royalties or offtake arrangements. No securities will be issued to DGWA under the agreement.
DGWA is an arm's-length party to Northern, and, to the company's knowledge, DGWA and its principals do not currently own, directly or indirectly, any securities of the company. The engagement is subject to acceptance by the TSX Venture Exchange.

All projects have battery-quality graphite and are located close to infrastructure in politically stable jurisdictions.
