Mr. Ian Clifford reports
FUELPOSITIVE ADVANCES TOWARD MANITOBA DEMONSTRATION, EXPANDS TECHNICAL TEAM AND ANNOUNCES ADDITIONAL DEBT CONVERSION
Fuelpositive Corp. has made significant progress in preparing its patented FP300 on-farm green ammonia production system for demonstration at the Hiebert farm in Sperling, Man. Following the mid-October inspection and on-site planning, the company's expanded technical team is addressing the remaining requirements ahead of the anticipated final certification inspection.
October inspection and next steps
Intertek's extensive mid-October inspection confirmed that many critical components of the FP300 demonstration facility already comply with the required Canadian certification requirements.
Its inspection confirmed that only a small number of clearly defined tasks remained ahead of the anticipated final certification inspection and it provided practical guidance to address each outstanding item.
Working together in person at the farm, Intertek, Stantec, Fuelpositive and its newly expanded Manitoba-based technical team reviewed the required modifications, equipment needs, procurement priorities and the required work sequence. Fuelpositive is integrating the remaining electrical and mechanical activities with qualified field resources and coordinating with specialized suppliers to source the remaining components, prioritizing local suppliers.
Documentation and regulatory submissions are progressing alongside preparations for system testing. Once the prescribed work is complete, Fuelpositive will coordinate the next Intertek inspection to obtain final certification. Once final certification and the remaining regulatory approvals are in place, Fuelpositive will proceed with final testing and system activation, paving the way for decentralized Green Ammonia production and the full demonstration.
Expanded engineering expertise and coordinated field execution
Fuelpositive has appointed Stantec to assume project management, oversee engineering activities and support the company as it navigates the final provincial regulatory requirements with Manitoba Inspection and Technical Services and the provincial utility.
Fuelpositive has also expanded its field execution support through a robust network of qualified chemical, electrical and mechanical service providers and contractors, specialized equipment suppliers, and technical specialists. Alongside Stantec's engineering co0ordination and regulatory expertise, these resources provide the flexibility to address installation requirements in real time and to meet procurement priorities as the demonstration advances toward full certification.
Expanded Chemical Engineering Expertise
Chemical engineering consultants Dogan Erdemir and Aysegul Yagmur Goren Kara have brought invaluable expertise to Fuelpositive's technical team, supporting activation planning, testing, validation and optimization.
Their contributions also support the development of complementary technologies and new potential intellectual property, while keeping the Manitoba demonstration the main focus and immediate priority.
Further debt conversion
The company also announces that it proposes to settle an aggregate of $304,533 in outstanding indebtedness by issuing 5,536,964 units at a deemed price of 5.5 cents per debt unit. Each debt unit will consist of one common share in the capital of the company (each, a and one common share purchase warrant. Each debt warrant will be exercisable at eight cents for 60 months. If the 10-day volume-weighted average closing price of the common shares on the TSX Venture Exchange exceeds 40 cents, the company will have the right to accelerate the expiry of the debt warrants.
The company owes the indebtedness to certain arm's-length service providers. All securities issued in connection with the debt settlement will be subject to resale restrictions for four months and one day under applicable securities laws. The completion of the debt settlement remains subject to approval by the TSX Venture Exchange.
