NOBLE ANNOUNCES RESULTS OF 2026 SHAREHOLDER MEETING

Noble Mineral Exploration Inc. has released the results of its annual general and special meeting of shareholders held on Feb. 26, 2026. At the AGM, the shareholders approved:

  1. The re-election of management's nominees to the board of directors, namely: J. Birks Bovaird, Yvan Champagne, Michael Newbury, Samuel Peralta and H. Vance White (each director being elected with over 99 per cent of votes cast);
  2. The reappointment of MNP LLP as the company's auditor for the coming year, and also authorized the directors to fix the renumeration of the auditor (approved by over 99 per cent of votes cast);
  3. The reapproval of the amended and restated 2022 equity incentive plan of the company (approved by over 99 per cent of votes cast); and
  4. The approval of the shareholder rights plan of the company (approved by over 99 per cent of votes cast).

Following the AGM, the board of directors reappointed the officers of the company to the positions they previously held. In addition, the board confirmed that the audit committee would continue to be composed of Mr. Newbury (chair), Mr. Bovaird and Mr. Champagne, and the environmental, social and governance, nominating, and compensation committee will be composed of Mr. Bovaird (chair), Mr. Newbury and Mr. Peralta.
