The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of a historical drill hole database pertaining to the Shirley Central project, located in Wyoming. By way of consideration, the company will make a cash payment of $125,000 (U.S.) and will issue 4,786,451 shares at a deemed price of 13.58 Canadian cents per share. Under the terms of the agreement, the company may be required to make future contingent payments of 10 U.S. cents in cash and 20 Canadian cents in shares per pound of mineral resource or reserve identified in a future National Instrument 43-101-compliant report. The issuance of any contingent shares is subject to prior exchange approval and will be limited so as not to result in the vendor holding more than 9.9 per cent of the company's issued and outstanding shares.

Consideration:  $125,000 (U.S.) and 4,786,451 common shares

A finder's fee is not payable in connection with this transaction.
