2026-11-03 15:53 ET - News Release

Mr. Sean Krakiwsky reports

NANALYSIS SETTLES INTEREST PAYMENT ON PROMISSORY NOTES AND PROVIDES CORPORATE UPDATE

Nanalysis Scientific Corp. has satisfied the first annual interest payment of $240,000 owing on its unsecured promissory notes through the issuance of an aggregate of two million common shares of the company at a deemed price of 12 cents per interest share.

The notes were issued on June 13, 2025, to arm's-length third party investors (the lenders) in the aggregate principal amount of $2-million, as previously announced by the company in its news release dated June 13, 2025. The notes mature on June 13, 2027, and bear simple interest at a rate of 12 per cent per annum, payable annually. At the company's option and subject to TSX Venture Exchange approval, the interest may be paid in cash or common shares of the company. The interest shares were issued to the lenders pro rata in accordance with their respective holdings of notes.

The issuance of the interest shares remains subject to the final acceptance of the TSX-V. The interest shares are subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable securities legislation and the policies of the TSX-V.

Corporate update

The company also announces that Philip Birkby, who has served as interim chief financial officer of the company since Oct. 5, 2026, has stepped down from the role effective Oct. 31, 2026. Mr. Birkby will remain with Nanalysis in a consulting capacity.

In his consulting role, Mr. Birkby will continue to support the company on financial reporting, treasury and other finance matters, providing continuity while the company resumes its search for a permanent chief financial officer. The company will provide an update on the appointment of a permanent chief financial officer in due course.

"On behalf of the board and the entire Nanalysis team, we thank Phil for his contributions as interim chief financial officer and are pleased that the company will continue to benefit from his experience going forward," said Sean Krakiwsky, chief executive officer of Nanalysis.
