Americas Uranium agrees to acquire Treeline project

AMERICAS URANIUM CORP. TO ACQUIRE 100% INTEREST IN TREELINE URANIUM PROJECT, LOCATED IN NEW MEXICO, USA

Americas Uranium Corp. has entered into a mineral property purchase agreement with Verdera Energy Corp. and Verdera's wholly owned subsidiary, NM Energy Holding Corp., pursuant to which the company has agreed to acquire a 100-per-cent interest in the Treeline uranium property, located in Cibola and McKinley counties, New Mexico, United States, through NM Energy.

The acquisition represents an important advancement of Americas Uranium's strategy to build a portfolio of uranium assets in North America and provides the company with an exploration property containing known uranium mineralization, historical drilling and multiple opportunities for resource confirmation and expansion.

Transaction and project highlights

  • 100-per-cent interest in Treeline: Americas Uranium will acquire a 100 per cent interest in the Treeline property and associated property rights, subject to existing and newly granted royalties.
  • Historical estimate of 1.02 million pounds U3O8 (triuranium octoxide): Historical information relating to the Treeline property includes an estimate of approximately 1,020,000 pounds of U3O8. This estimate was calculated in 1978 and there are insufficient details available on the procedures used to determine if any of this estimate meets National Instrument 43-101 standards (Penn and Rice, 2005). The historical estimate predates the company's interest in the property. A qualified person has not completed sufficient work to classify the historical estimate as a current mineral resource or mineral reserve, and the company is not treating the historical estimate as a current mineral resource or mineral reserve. Additional work will be required to verify and update historical estimates, including a review of the assumptions, parameters, methods and testing.
  • Two known uranium trends: Uranium mineralization is concentrated within the North and South trends. Historical information indicates that the North trend extends approximately 2,000 feet northwest-southeast and is approximately 175 feet wide, while the South trend extends approximately 3,250 feet and ranges from approximately 50 to 150 feet in width.
  • Relatively shallow mineralization: Axiom Exploration Group's review of the historical data notes that both zones of mineralization are relatively shallow, providing a potentially favourable setting for future drilling and evaluation.
  • Established uranium district: The property is located in Cibola and McKinley counties, New Mexico, in an area with a history of uranium exploration and mining. Historical mining has occurred immediately southeast of the property at the San Mateo mine.
  • Defined path toward modern resource evaluation: Axiom recommends compiling and digitizing historical drilling, developing an updated geological and resource model, and conducting RC (reverse circulation) and diamond drilling, gamma logging, and twin drilling a selection of historic drill holes to determine the work required to potentially establish a new National Instrument 43-101-compliant mineral resource.
  • Additional exploration potential: Axiom has identified exploration potential along the North and South trends, including areas north and south of the San Mateo mine and east-southeast along trend. The company advises that, notwithstanding their proximity of location, discoveries of minerals at the San Mateo mine and any promising results thereof are not necessarily indicative of the mineralization of, or located on the Treeline property or the company's ability to commercially exploit the Treeline property or to locate any commercially exploitable deposits therefrom.
  • Attractive acquisition structure: Consideration consists of $100,000 (U.S.) in cash and $2-million in common shares of Americas Uranium, with 90 per cent of the share consideration payable in staged issuances over the 36 months following closing.
  • Strategic expansion rights: Americas Uranium will also receive a right of first refusal over specified additional properties surrounding the acquired land position.

Treeline uranium property

The Treeline property is located in Cibola and McKinley counties, New Mexico, and consists of a combination of unpatented mining claims, fee mineral rights, and certain leased surface and mineral rights.

According to the historical technical information reviewed by Axiom, uranium mineralization in the area is hosted primarily within the Westwater Canyon Member sandstone and Poison Canyon sandstone. All known uranium mineralization identified on the Treeline property occurs within the Poison Canyon sandstone, making this sandstone package an important target for future exploration.

Historical exploration identified two principal mineralized trends, referred to as the North trend and South trend. The North trend is reported to extend approximately 2,000 feet from northwest to southeast and to be approximately 175 feet wide. The South trend is reported to extend approximately 3,250 feet along strike and range from approximately 50 to 150 feet in width.

Axiom notes that both zones of mineralization are relatively shallow and that most known historical drilling was conducted within the lease lands in Section 24, which contains both the North and South trends. Historical drilling was also conducted southeast of Section 24 near the workings of the San Mateo mine. Historical uranium mining has occurred in the surrounding area, including at San Mateo and the nearby Chill Wills mine.

Historical uranium estimate

Following its review of the "Technical Report of the Treeline Project, Cibola and McKinley Counties, New Mexico, USA" prepared by Neil Prenn, PE, and John A. Rice, CPG, and dated Jan. 10, 2005, Axiom concluded that the property has exploration potential and noted that a historical resource exists on the property.

Historical information relating to the Treeline property includes an estimate of approximately 1.02 million pounds of U3O8. The historical estimate from 1978 was summarized in the report. Historical estimates do not use the current mineral resource categories prescribed under NI 43-101. There are insufficient details available on the procedures used in these estimates to determine if any portion meets NI 43-101 standards or to draw any comparisons with current CIM (Canadian Institute of Mining) Definition Standards. To the QP's knowledge there are not more recent resource estimates for the Treeline property.

The company considers the historical estimate relevant because it provides an indication of uranium mineralization identified by historical drilling and may assist the company in planning future exploration of the property. The company and its qualified person consider the historical estimate to be reliable for the limited purposes of exploration planning.

Exploration and resource advancement strategy

Axiom's review concluded that the Treeline property has geological merit due to the uranium mineralization historically identified within Section 24 and recommends that future exploration initially focus on determining the work necessary to establish a current NI 43-101-compliant resource, including:

  • Compilation and digitization of all known historical drill holes;
  • Development of an updated geological and resource model;
  • RC and diamond core drilling;
  • Gamma logging to enable comparison with historical drill-hole information;
  • Twinning of selected historical holes along both the North and South trends;
  • Collection and analysis of drill cuttings and core using modern analytical techniques;
  • Additional exploration along extensions of the North and South trends.

Axiom also identified additional exploration potential east-southeast along trend on the unpatented mining claims and in areas north and south of the San Mateo mine. The company intends to undertake a comprehensive review and compilation of the available historical database following completion of the acquisition and use the results to design its initial exploration program.

U.S. uranium and nuclear energy market context

The acquisition of the Treeline property comes at a time of renewed investment and activity across the U.S. uranium and nuclear energy sectors.

According to the U.S. Energy Information Administration, U.S. uranium mine production increased to approximately 1.4 million pounds of U3O8 in 2025, approximately double the 700,000 pounds reported in 2024 and the highest annual level since 2016.

During 2025, U.S. uranium exploration drilling totalled approximately 1,016,000 feet across 1,824 holes. U.S. uranium industry employment increased 41 per cent to 711 full-time person-years, while industry expenditures for land, exploration, drilling, production and reclamation reached approximately $234.7-million (U.S.).

In May, 2025, the U.S. Administration established a policy objective of increasing American nuclear generating capacity from approximately 100 gigawatts in 2024 to 400 gigawatts by 2050. In June, 2026, the U.S. Department of Energy announced a $17.5-billion (U.S.) conditional loan commitment intended to support procurement of long-lead components for 10 new AP1000 nuclear reactors and potentially accelerate their deployment by up to three years.

The company believes these developments highlight the increasing strategic importance of domestic uranium exploration and development as the United States seeks to expand nuclear generating capacity and strengthen domestic nuclear fuel supply chains.

"As the U.S. expands nuclear power and strengthens its domestic nuclear fuel supply chain, we believe high-quality American uranium assets will become increasingly important. Our focus is now on advancing the historical work at Treeline and determining the drilling required to evaluate the historical estimate under current NI 43-101 standards."

Transaction terms

Pursuant to the terms of the agreement, the company will pay to Verdera the cash payment and issue to Verdera such amount of shares equal to an aggregate value of $2-million as follows:

Pursuant to the agreement, the company has agreed to grant Verdera an aggregate 1.5-per-cent royalty, with the company having the right but not the obligation, to purchase one-third of the vendor royalty at any time following the closing date for a one-time payment of $400,000.

Closing of the transaction remains subject to, without limitation, receiving all necessary consents and approvals, including the approval of the CSE, as well as satisfaction of customary closing conditions. The company expects to complete the transaction in the coming weeks. The shares will be subject to a hold period of four months and one day from the date of closing.

The shares to be issued pursuant to the agreement are subject to a beneficial ownership limitation such that if Verdera is to receive shares that would, upon receipt together with any pre-existing shares held at such time, result in Verdera beneficially owning, or exercising control or direction over, in excess of 19.99 per cent of the total issued and outstanding shares immediately after giving effect to the issuance of such shares, such issuance in excess of the ownership limit will be deferred until such time as Verdera would no longer in the aggregate beneficially own, or exercise control or direction over, shares in excess of the ownership limit after giving effect to such issuance.

The property is also subject to an existing 2-per-cent net proceeds royalty on uranium and 2-per-cent net smelter returns royalty on other minerals pursuant to a May 15, 2025, royalty deed between Verdera and enCore Energy Corp.

Right of first refusal provides additional expansion opportunity

As part of the transaction, Americas Uranium will receive a right of first refusal over specified additional property interests in the surrounding area should Verdera seek to sell or transfer such interests. The additional property encompasses specified sections within Townships 13 North, Ranges 8 West and 9 West, potentially providing Americas Uranium with an opportunity to further consolidate its land position around the Treeline property.

Qualified person

The scientific and technical information regarding the Treeline property contained in this news release has been reviewed and approved by Troy Marfleet, PGeo, of Axiom, technical adviser for the company, and a qualified person as defined by National Instrument 43-101.

The technical information regarding the historical estimate is based upon historical information reviewed by Axiom, including the report. The historical estimate does not meet current NI 43-101 requirements, and the company is not treating it as a current mineral resource or mineral reserve.
