AMERICAN ATOMICS ANNOUNCES UPSIZING OF PRIVATE PLACEMENT OF UNITS
In response to strong investor demand, American Atomics Inc. has upsized its previously announced non-brokered private placement of units of the company previously announced on Feb. 6, 2026, and Feb. 9, 2026.
The upsized offering raises the maximum aggregate gross proceeds from the sale of the units from $500,000 to $2-million. The upsized offering will consist of up to eight million units at a price of 25 cents per unit.
Each unit consists of one common share in the capital of the company and one-half of one share purchase warrant. Each warrant will be exercisable to acquire an additional share at a price of 35 cents per warrant share for a period ending 24 months after issuance.
The company intends to use the net proceeds from the upsized offering to support a transaction with Big Indian Prospectors LLC, as announced on Oct. 27, 2025, working capital, and general and administrative expenses. Units issued in the upsized offering will be subject to a four-month hold period in accordance with applicable securities laws, which will expire four months and one day from the date of closing of the upsized offering.
The company may pay finders' fees on the upsized offering in accordance with the policies of the Canadian Securities Exchange.
