The TSX Venture Exchange has consented to the reduction in the exercise price of the following warrants.

Private placement

Number of warrants:  1.68 million (postconsolidation)

Expiry date of warrants:  April 30, 2030

Original exercise price of warrants:  $1.25 (postconsolidation)

New exercise price of warrants:  25 cents (postconsolidation)

These warrants were issued pursuant to a private placement of 42 million shares with 42 million share purchase warrants attached, which occurred prior to the company's 1:25 consolidation, which was effective Oct. 7, 2025. The private placement was accepted for filing by the exchange effective May 8, 2025.
