ONCO-INNOVATIONS ANNOUNCES CLOSING OF SHARES FOR DEBT SETTLEMENT
Onco-Innovations Ltd. has closed its previously announced settlement of outstanding indebtedness in the aggregate amount of $481,694 owed to certain insiders and consultants of the company, by way of the issuance of an aggregate of 860,168 common shares of the company, at a deemed price of 56 cents per share, in full and final settlement of the debt, pursuant to certain debt settlement agreements dated Aug. 31, 2026, between the company and each of the creditors.
The issuance of shares to RHM Management Inc., an entity controlled by David Antony, the company's chief financial officer and corporate secretary, and to Carnarvon Strategies-Health Industry Solutions Inc., an entity controlled by Thomas O'Shaughnessy, the company's chief executive officer, constitutes a related party transaction within the meaning of Multilateral Instrument 61-101,
Protection of Minority Security Holders in Special Transactions. The company is relying on the exemptions from the formal valuation and minority approval requirements set out in sections 5.5(a) and 5.7(1)(a) of MI 61-101 because neither the fair market value of the Shares nor the fair market value of the consideration paid for the shares exceeded 25 per cent of the company's market capitalization.
