SILVER PONY ANNOUNCES OPTION GRANT AND MARKETING ENGAGEMENT

Silver Pony Resources Corp. has approved the issuance of 1.15 million stock options to an insider and founder of the company for the purchase of up to 1.15 million common shares in the capital of the company pursuant to the company's equity incentive plan. Each option vested immediately and is exercisable for a period of five years at an exercise price of 20 cents per share.

The options were granted pursuant to the plan, which was originally approved by shareholders at the company's annual general meeting held on Dec. 29, 2022. Under the policies of the Canadian Securities Exchange, the plan is required to be reapproved by shareholders every three years. Despite the plan not being reapproved by shareholders in the past three years, the CSE has permitted the grant of the options, provided that: (i) the grants are expressly subject to shareholder reapproval of the plan and cannot be exercised unless and until such approval is obtained; and (ii) if shareholder approval is not obtained, the options will automatically terminate and be cancelled without any further action or compensation. The company intends to seek reapproval of the plan at its next annual general meeting of shareholders.

All shares issued upon exercise of the options will be subject to a hold period of four months and one day from the date of grant in accordance with applicable securities legislation and the policies of the CSE.

Marketing engagement

The company has entered into an independent consulting agreement dated Sept. 3, 2026, with Avec Creations Ltd., pursuant to which Avec will produce, edit and disseminate video and chief executive officer interviews through X and YouTube as well as feature the company's notable news releases in its newsletter. The services will commence Sept. 3, 2026, for a term of three months. In consideration for these services, the company will pay the consultant a one-time fee of $20,000. Avec is an arm's-length party to the company and, to the knowledge of the company, holds no securities of, and has no other interest, direct or indirect, in, the company. All materials produced and disseminated under this engagement will disclose that they are issued by or on behalf of and paid for by the company, in accordance with applicable securities legislation.
