The TSX Venture Exchange has accepted for filing documentation pertaining to a share purchase agreement dated April 15, 2026, as amended on July 31, 2026, among Prospector Metals Corp., Lightning Exploration Corp. (formerly Prospector Subco Ltd.) and Lightning Resource Corp. (formerly BeMetals Corp.) (the purchaser), pursuant to which the company has disposed of 100 per cent of the issued and outstanding common shares of Prospector Subco.

Prior to closing, the company completed a preclosing reorganization to transfer the subject assets to Prospector Subco, comprising: (i) the mineral titles and permits for the Savant, TooGood, Whitton and Devon projects; (ii) 5,367,000 common shares of TooGood Gold Corp.; (iii) the proprietary geological database; and (iv) $150,000 in cash.

As consideration, the purchaser issued 29.4 million common shares to the company. The consideration shares will be distributed to the company's shareholders on a pro rata basis as a return of capital.

On Aug. 28, 2026, the company announced a return of capital to distribute the 29.4 million consideration shares to its shareholders on a pro rata basis according to the following schedule.

Entitlement per share:  0.174977 common share of the purchaser per common share of the company held

Ex distribution date:  Sept. 4, 2026

Record date:  Sept. 4, 2026

Payable date:  Sept. 10, 2026

The transaction is non-arm's length in nature. No finders' fees are payable in connection with this disposition.
