Plan of arrangement
The
TSX Venture Exchange has accepted for filing documentation in connection with the business combination among Plum Acquisition Corp. III (SPAC), Plum III Amalco Corp. (Amalco), Plum III Merger Corp. (Pubco) and Tactical Resources Corp., pursuant to the terms of a business combination agreement dated Aug. 22, 2024, as amended, and a court-approved plan of arrangement under Section 288 of the Business Corporations Act (British Columbia). Pursuant to the business combination agreement, the company, SPAC, Pubco and Amalco completed a multistep plan of arrangement and amalgamation such that the company continues as a wholly owned subsidiary of a new parent entity (New Pubco), which has been renamed Tactical Resources Corp. Pursuant to the business combination agreement, each common share of the company was exchanged for approximately 4.45396581 New Pubco common shares.
The exchange has been advised that approval of the arrangement by the company shareholders was received at a special meeting of shareholders held on Dec. 16, 2025, and that approval of the arrangement was received from the Supreme Court of British Columbia on Dec. 18, 2025. The company has advised that the business combination was closed on Aug. 13, 2026.

Delisting
As a result of the completion of the business combination and at the request of the company, effective at the close of business on Thursday, Aug. 13, 2026, the common shares of company will be delisted from the TSX Venture Exchange.
