The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of the Victory project, a 9,875-hectare lithium exploration property in Northwestern Ontario.

To fully exercise the option, the company must make aggregate cash payments of $600,000, issue common shares with an aggregate value of $400,000 (subject to a minimum floor price of five cents per share) and incur $500,000 in cumulative exploration work commitments over a 24-month period. The exploration expenditures can be made in cash or common shares. The optionors will retain a 2.0-per-cent net smelter return (NSR) royalty on the staked claims and a 1.0-per-cent NSR royalty on the purchased claims, of which the company may repurchase 50 per cent for an aggregate payment of $1-million. The optionee may accelerate the payments or consideration share issuances. No finders' fees are payable in connection with this transaction.
