RADISSON CLOSES C$57 MILLION STRATEGIC INVESTMENT
Radisson Mining Resources Inc. has closed its previously announced private placement of units with Agnico Eagle Mines Ltd. Under the terms of the private placement, Agnico Eagle purchased 53.42 million units of the company at a price of $1.07 per unit for aggregate gross proceeds of $57,159,400, each unit consisting of one Class A common share and one-half of one common share purchase warrant exercisable at $1.39 per share for a period of 60 months. As of closing, Agnico Eagle has an ownership position of approximately 10.45 per cent of the issued and outstanding common shares of the company on a non-diluted basis and approximately 14.90 per cent on a partially diluted basis.
The proceeds of the private placement will finance the commencement of an advanced underground exploration program at Radisson's 100-per-cent-owned O'Brien gold project in the Abitibi region of Quebec, including the development of an access ramp and related underground and surface mine infrastructure. The company's continuing 140,000-metre stepout drill program continues as planned, financed from existing cash resources.
The investor rights agreement between the company and Agnico Eagle described in the company's news release dated Aug. 24, 2026, was executed concurrently with the closing of the private placement.
The private placement was completed on a non-brokered basis, and no commissions or finders' fees were paid in connection with it. The securities issued under the private placement are subject to a hold period expiring on Jan. 2, 2027. The private placement remains subject to the final acceptance of the TSX Venture Exchange.
