Mr. Jag Sandhu, a shareholder, reports

EARLY WARNING NEWS RELEASE JAG SANDHU REGARDING BIG RED MINING CORP.

On Aug. 27, 2024, Jag Sandhu disposed of ownership and/or control, directly and indirectly, of a total of 2.9 million common shares of Big Red Mining Corp. at a price of five cents per share through several private transactions.

Prior to the dispositions, Mr. Sandhu had ownership and control, directly and indirectly, of six million common shares, 1.25 million share purchase warrants and 400,000 stock options of Big Red, and shared control of 2.5 million common shares and two million share purchase warrants of Big Red, which together represented approximately 25.0 per cent of the issued and outstanding common shares of Big Red on a non-diluted basis and 32.3 per cent when assuming exercise of all share purchase warrants and stock options held or controlled by Mr. Sandhu. The dispositions result in Mr. Sandhu having ownership and control, directly and indirectly, of a total of 4.8 million common shares, 1.25 million share purchase warrants and 400,000 stock options of Big Red, and shared control of 800,000 common shares and two million share purchase warrants of Big Red, a decrease of approximately 8.5 per cent on a non-diluted basis and 7.7 per cent when assuming exercise of all share purchase warrants and stock options held or controlled by Mr. Sandhu, for a total of approximately 16.5 per cent of the issued and outstanding common shares of Big Red on a non-diluted basis and 24.6 per cent when assuming exercise of all share purchase warrants and stock options held or controlled by Mr. Sandhu.

Mr. Sandhu's dispositions were made for business reasons. Mr. Sandhu may in the future wish to increase or decrease his shareholdings in Big Red as circumstances warrant. Such circumstances may include but are not limited to compliance with applicable securities laws and Canadian Securities Exchange policies, general market and economic conditions, business prospects of Big Red, and investment and business opportunities available to Mr. Sandhu.
