Private placement -- non-brokered

The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement, as follows.

Gross proceeds:  $2,336,250

Offering:  4,672,500 listed shares postconsolidation

Offering price:  50 cents per listed share postconsolidation

The TSX Venture Exchange has also accepted for filing the documentation with respect to a non-brokered private placement. This private placement consisted of the issuance of subscription receipts, which were exchanged into common shares upon closing of the qualifying transaction, as follows.

Gross proceeds:  $382,500

Offering:  850,000 listed shares postconsolidation

Offering price:  45 cents per listed shares postconsolidation
