RESOLVE ANNOUNCES VOTING RESULTS FROM ANNUAL GENERAL MEETING OF SHAREHOLDERS

Resolve Energy Inc. has received approval of each of the matters set out in the corporation's management information circular dated July 13, 2026, at the 2026 annual general meeting of shareholders held via webcast on Aug. 12, 2026.

A total number of 12,915,598 shares, representing 35.34 per cent of the corporation's 36,549,992 issued and outstanding shares, were represented and voted at the meeting.

1. Election of directors

Each of the nominees listed in the corporation's management information circular was elected as a director of the corporation to hold office until the next annual meeting of shareholders or until his successor is duly elected or appointed. The voting results were as shown in the attached table.

2. Appointment of auditor

Shareholders approved the appointment of the auditor of the corporation to hold office until the close of the next annual meeting of shareholders and authorized the directors to fix the auditor's remuneration. The voting results were as shown in the attached table.
