OREX MINERALS ANNOUNCES ADOPTION OF SEMI-ANNUAL REPORTING FRAMEWORK

Orex Minerals Inc. has elected to adopt the semi-annual reporting framework pursuant to British Columbia Instrument 51-933, Exemption from Certain Corporate Finance Requirements, which provides eligible venture issuers in British Columbia with relief from certain interim filing requirements under National Instrument 51-102, Continuous Disclosure Obligations.

As a result, the company will not file interim financial statements, related management discussion and analysis, or related officer certifications for the three-month period ended July 31, 2026. The company's next interim financial disclosure will instead be filed for the six-month period ending Oct. 31, 2026, in accordance with the timelines prescribed under applicable securities legislation. The company intends to continue filing on a semi-annual basis.

The company believes that adopting semi-annual reporting will reduce the administrative and financial burden associated with quarterly reporting, and is consistent with the objective of the blanket order to provide reporting flexibility for venture issuers.

Notwithstanding the adoption of the semi-annual reporting framework pursuant to the blanket order, the company remains subject to all applicable timely disclosure obligations and continuous disclosure requirements under securities legislation, including the requirement to disclose material changes in the affairs of the company on a timely basis.
