LIBERTY ANNOUNCES WARRANTS TO COMMENCE TRADING ON MARCH 31, 2025, FOLLOWING COMPLETION OF $1.65 UNIT PROSPECTUS OFFERING WITH $2.05 EXERCISE PRICE WARRANTS TO TRADE UNDER SYMBOL SCAN.WT

The warrants issued in connection with Liberty Defense Holdings Ltd.'s overnight marketed public offering of 3,031,000 units of the company that completed March 20, 2025, will begin trading on the TSX Venture Exchange at market open on April 2, 2025. The warrants are governed by a warrant indenture entered into between the company and Computershare Trust Company of Canada. In accordance with, and subject to the terms and conditions of, the warrant indenture, each warrant entitles the holder to purchase one common share of the company at an exercise price of $2.05 at any time before March 20, 2027. As of the date hereof, 1,515,500 warrants (Cusip number: 53044R172, international securities identification number: CA53044R1727) have been issued and will be posted for trading. An additional 227,325 warrants are issuable upon the exercise of the underwriter's overallotment option, if exercised.

The units were sold under a short form prospectus filed in all of the provinces of Canada, except Quebec, pursuant to National Instrument 44-101 -- Short Form Prospectus Distributions.
