SOLUTION FINANCIAL INC. ANNOUNCES RESULTS OF ANNUAL GENERAL MEETING

Solution Financial Inc. has released the results of its annual general meeting held on March 27, 2025.

Shareholders voted in favour of all of the items of business put forth at the meeting as set out below. A total of 54,487,412 shares were represented at the meeting, representing 63.22 per centof the total issued and outstanding shares.

Election of directors

The following six nominees were elected to serve as directors of the company until the next annual general meeting of shareholders or until their successors are elected or appointed.

Appointment of auditor

Davidson & Co. LLP, chartered professional accountants, was appointed as auditors of the company for the fiscal year ending Oct. 31, 2025.

Approach to executive compensation

The approach to executive compensation was approved.

Share option plan

The company's share option plan was approved for continuation for an additional three years.
