The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of the Northumberland gold project, located in northern Nye county, Nevada, pursuant to a purchase agreement dated Aug. 18, 2026, between the company, its subsidiaries and an arm's-length vendor.

Pursuant to the terms of the agreement, the company paid $70-million (U.S.) upon closing and will make two contingent payments of $25-million (U.S.) each: (i) within 120 days of the publication of a feasibility study; and (ii) the second within 120 days after achievement of certain commercial production milestones. The property consist of contiguous patented and unpatented claims covering 29,739 acres (12,035 hectares), located in northern Nye county, Nevada.

The transaction is arm's length in nature. On the closing of the transaction, the company has issued 457,380 warrants as an advisory fee. Each warrant is exercisable for one share at a price of $2 for a two-year period.
