The TSX Venture Exchange has accepted for filing a third amending agreement dated Sept. 30, 2025, between the company and the optionor in respect of the original agreement dated July 23, 2021, and further amended on Feb. 1, 2022, and Oct. 26, 2022, regarding the acquisition of 100-per-cent ownership of either Minera BRG S.A. de C.V. or the Pedro gold project. The agreement was accepted by the exchange on Feb. 3, 2022. The amending agreement provides that the company will acquire 100-per-cent ownership Minera BRG and in turn own a 100-per-cent interest in the Pedro gold project, located Durango, Mexico. By way of consideration, the company will issue two million common shares at a deemed price of seven cents. The optionor retains a 2-per-cent net smelter return (NSR) royalty.

No finder's fee was payable in connection with the transaction.
