The TSX Venture Exchange has accepted for filing documentation relating to an arrangement agreement dated Dec. 10, 2025, between Sirios Resources Inc. and OVI Mining Corp. Pursuant to the agreement, the company has acquired all of the issued and outstanding common shares of OVI, a privately owned exploration-stage company principally engaged in the acquisition, exploration and development of mineral properties in North America.

Pursuant to the transaction, the company issued an aggregate of 131,905,594 company shares, representing 2.34 company shares for each common share of OVI. All 1,866,000 options to purchase OVI shares outstanding immediately prior to the effective time of the transaction were exchanged for 4,366,440 options to acquire company shares, with an exercise price equal to approximately 5.641 cents per company share, subject to rounding on the exercise thereof in accordance with the agreement, and which expire on Nov. 1, 2030.
