STAR ROYALTIES SHAREHOLDERS APPROVE BUSINESS COMBINATION WITH SUMMIT ROYALTIES

At a special meeting of Star Royalties Ltd. shareholders, held on June 22, 2026, a resolution to approve a statutory plan of arrangement pursuant to Section 192 of the Canada Business Corporations Act, subject to the terms and conditions of an arrangement agreement entered into between Star Royalties and Summit Royalties Ltd., dated March 16, 2026, as it may be modified, supplemented or amended from time to time in accordance with its terms, all as more particularly described in the management information circular of Star dated May 12, 2026, was approved.

A total of 51,019,474 votes were cast at the meeting, representing 63.457 per cent of the issued and outstanding common shares as of the record date of May 5, 2026.
