SILVERCORP REPORTS 2026 ANNUAL GENERAL AND SPECIAL MEETING RESULTS
All matters submitted to shareholders for approval as set out in Silvercorp Metals Inc.'s notice of meeting and information circular, both dated Aug. 12, 2026, and the news releases issued on Sept. 22, 2026, and Sept. 30, 2026, were approved by the requisite majority of votes cast at Silvercorp's annual general and special meeting held today. A total of 123,182,474 common shares, representing 55.69 per cent of the votes attached to all outstanding shares as at the record date for the meeting, were represented at the Meeting. The voting results for the election of directors are set out in the attached table.
Amendments to articles
Shareholders passed a special resolution authorizing the company to make certain amendments to the company's articles in order to align its constating documents with the listing rules governing the listing of securities on the Stock Exchange of Hong Kong, as more particularly described in the information circular accompanying the notice of meeting and the news releases issued on Sept. 22, 2026, and Sept. 30, 2026. The special resolution received 96,389,543 votes for (95.74 per cent) and 4,287,268 against (4.26 per cent).
Amendments to share-based compensation plan
Shareholders passed an ordinary resolution authorizing the company to further amend and restate its amended and restated share based compensation plan. The ordinary resolution received 85,182,202 votes for (84.51 per cent) and 15,613,836 (15.49 per cent) against.
Shareholders also reapproved the reappointment of Deloitte LLP as the auditor of the company for the ensuing year. Final results for all matters voted on at the meeting will be filed on SEDAR+, on EDGAR and on the company's website.
