ST-GEORGES EXTENDS VALIDITY PERIOD FOR CERTAIN WARRANTS
St-Georges Eco-Mining Corp., subject to acceptance by the Canadian Securities Exchange, intends to extend by one year the expiry date of 5,080,219 outstanding common share purchase warrants issued in connection with the corporation's Sept. 6, 2024, private placement.
Warrant extension
The warrants currently entitle holders to acquire common shares of the corporation at an exercise price of eight cents per share and expires on Sept. 6, 2026. The proposed amendment will extend the expiry date to Sept. 6, 2027. The exercise price will remain eight cents, and all other terms of the warrants will remain unchanged.
Sept. 6, 2024, financing consisted of 10,360,438 units issued at six cents per unit, with each unit comprising one common share and one-half common share purchase warrant. A total of 5,180,219 whole unit warrants were issued. Following the exercise of 100,000 of those warrants in April, 2025, 5,080,219 remain outstanding.
The extension does not apply to the 84,000 compensation warrants issued to the arm's-length finder in connection with the September, 2024. financing.
The corporation expects the amendment to become effective on Aug. 24, 2026, subject to CSE acceptance.
Related party matters
Certain directors, officers and other people who may be related parties of the corporation hold warrants included in the extension. The corporation will comply with the applicable requirements of Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions in connection with the amendment.
