TERRA CLEAN CLOSES THE ACQUISITION TO EARN 100% INTEREST IN THE PROSPECTOR & FREEDOM URANIUM MINES IN MARYSVALE, UTAH, UNITED STATES

Terra Clean Energy Corp., further to its press release dated Jan. 26, 2026, has entered into a definitive agreement to acquire up to a 100-per-cent interest in the Prospector & Freedom Uranium Mines located in Marysvale, Utah. As part of the initial earn-in, the company will issue a total of 750,000 common shares to the vendors (complete details of the earn-in requirements can be found in the Jan. 26, 2026, press release).

All securities issued in connection with these agreements would be subject to a four-month-plus-one-day hold period from the date of issuance in accordance with applicable securities laws.
