The TSX Venture Exchange has accepted for filing documentation in connection with the arrangement between Trubar Inc. and 1564128 B.C. ULC (the purchaser), an affiliate of ETI Glda Sanayi ve Ticaret A.S., pursuant to the terms of an arrangement agreement dated Nov. 23, 2025, and a court-approved plan of arrangement under Division 5 of Part 9 of the Business Corporations Act (British Columbia).

Pursuant to the terms of the arrangement, the purchaser acquired all of the issued and outstanding common shares in the capital of Trubar for a cash payment to holders of common shares in the amount of $1.64 per common share. In addition and in accordance with the terms of the arrangement agreement:

• Holders of warrants to purchase common shares received a cash payment equal to the amount (if any) by which the common share cash consideration exceeded the exercise price of such warrant;
• Holders of options to purchase common shares received a cash payment equal to the amount (if any) by which the common share cash consideration exceeded the exercise price of such option;
• Holders of restricted share units of Trubar received a cash payment equal to the common share cash consideration.

The exchange has been advised that requisite approval of the arrangement by securityholders of Trubar was received at a special meeting of securityholders held on Jan. 13, 2026. The Supreme Court of British Columbia granted its final order approving the plan of arrangement on Jan. 15, 2026. The exchange has been advised that the arrangement closed on Feb. 6, 2026. Delisting

Further to the completion of the arrangement, effective at the close of business on Monday, Feb. 9, 2026, the common shares of Trubar will be delisted from the TSX Venture Exchange at the request of Trubar.
