CANCELLATION OF DEFINITIVE AGREEMENT FOR REVERSE TAKE-OVER TRANSACTION

Further to its Feb. 8, 2024, news release, Tri-River Ventures Inc.'s definitive agreement dated Jan. 17, 2024, with Tyromer Technology Asia Ltd. (TTA) for a reverse takeover transaction with TTA under the policies of the TSX Venture Exchange has been terminated.

Pursuant to the terms of the agreement and mutual communications, both parties agreed that the transaction should be cancelled. Tri-River will start to look for other business opportunities.

Tri-River Ventures does not currently have an active business and is listed on the NEX board of the TSX-V. The common shares of Tri-River have been halted from trading for some time due to Tri-River not meeting public share distribution requirements of the TSX-V. Further disclosure regarding the reinstatement of trading will be provided in due course.
