The TSX Venture Exchange has accepted for filing the company's proposal to issue 2.5 million share purchase warrants of the company as bonus warrants to a non-arm's-length party in consideration of a non-convertible loan in the principal amount of $1.8-million to the company by the lender pursuant to the terms of an amended and restated loan agreement dated Aug. 12, 2026.

The loan bears interest at 7.00 per cent per annum, calculated and payable monthly, and matures 24 months from the execution date, on Aug. 12, 2028. In connection with the loan, the company paid the lender a 2-per-cent standby fee ($36,000) and a 2-per-cent cash bonus ($36,000). Each loan bonus warrant entitles the Lender to acquire one common share of the company at 65 cents per share until Aug. 12, 2028.
