The TSX Venture Exchange has accepted for filing a share purchase agreement dated March 13, 2026, pursuant to which Silver Viper Minerals Corp. acquired shares of Exploraciones y Desarrollos Mineros Coneto SAPI de CV (EDMC) from Fresnillo PLC and Orex Minerals Inc.

Pursuant to the share purchase agreement, Silver Viper has issued 25,531,875 shares at a deemed value of 80 Canadian cents, representing a purchase price of $15-million (U.S.) to the Vendors for the acquisition.

Silver Viper and Orex are considered non-arm's-length parties to each other as they have a director in common.

The transaction is non-arm's length and there is a finder's fee paid to an arm's-length third party of 1,151,595 Silver Viper shares on the transaction.
