EARLY WARNING REPORT JERRY GRAFSTEIN WANGTON CAPITAL CORP.

Jerry Grafstein filed today an early warning report dated May 27, 2026, advising of his holdings in Wangton Capital Corp., a capital pool company, listed on the (NEX) TSX Venture Exchange.

Mr. Grafstein, chairman of the issuer, has reported that the issuer's implementation of a share consolidation on May 22, 2026, on the basis of five preconsolidated shares for every one postconsolidation share and a private placement of 7.52 million common shares that closed on May 22, 2026, has decreased his holdings and control in the company from 2.55 million common shares, representing 10.44 per cent of the previous 24,415,083 issued and outstanding shares, to a total of 560,000 common shares, representing 4.5 per cent of the issued and outstanding common shares of 12,403,017 on a fully diluted basis.

Mr. Grafstein further reported that he participated in the company's private placement and, through his wholly owned company, New Court Holdings, purchased 50,000 shares at 10 cents per share for $5,000. He confirms that the private placement shares were issued on a postconsolidation basis and are contained in his total holding of 560,000 common shares.
