GREENRISE ANNOUNCES DELAY IN FILING ANNUAL FINANCIAL STATEMENTS

Greenrise Global Brands Inc. will not file its audited annual financial statements for the year ended Dec. 31, 2025, the related management's discussion and analysis, and the related chief executive officer and chief financial officer certifications by the prescribed filing deadline of April 30, 2026.

The delay in completing the annual filings relates to being unable to provide audit verification of the company's loan receivable from CannaCare Health GmbH, which is in default.

The company intends to complete the annual filings as soon as practicable and does not expect any interruption to its business operations during the CTO (cease trade order).
