Greenrise Announces Delay in Filing Annual Financial Statements

Vancouver, Canada - April 29th, 2026 - Greenrise Global Brands Inc. (Frankfurt: C4T, ISIN: CA39540L1085) (CSE: XCX) ("Greenrise" or the "Company") announces that it will not file its audited annual financial statements for the year ended December 31, 2025, the related management's discussion and analysis, and the related CEO and CFO certifications (collectively, the "Annual Filings") by the prescribed filing deadline of April 30, 2026 (the "Filing Deadline").

The delay in completing the Annual Filings relates to being unable to provide audit verification of the Company's loan receivable from CannaCare Health GmbH ("CannaCare"), which is in default.

The Company intends to complete the Annual Filings as soon as practicable and does not expect any interruption to its business operations during the CTO.
