The Law Society of British Columbia has begun proceedings against Vancouver lawyer Sam Cole, citing him for failures with respect to misleading news releases and for failing to inquire about a transfer through his trust account involving $5.6-million. Mr. Cole also provided legal advice with respect to a private placement that involved false or misleading statements, the Law Society claims. The Law Society says that Mr. Cole's actions amount to professional misconduct.
The allegations against Mr. Cole, who is a partner at Vancouver law firm Cassels Brock & Blackwell LLP, are set out in a citation that the Law Society issued on Aug. 5, 2025. The events at issue occurred between November, 2018, and February, 2021. The citation, at four pages long, provides only the barest of details.
In what details the Law Society does provide, it cites Mr. Cole for legal services he provided in March and April, 2019, involving a company (only identified as "CC Corp.") and a deal to acquire two mineral claims (in an area only identified as the "FF Gold Camp"). According to the Law Society, Mr. Cole failed to ensure that information provided to the public in connection with the deal was not false or misleading. He also failed to advise the company that the information disseminated to the public was false or misleading, according to the Law Society.
