The TSX Venture Exchange has accepted company's acquisition of Gold Bull Resources Corp. pursuant to a court-approved plan of arrangement under the Business Corporations Act (British Columbia) as contemplated in the arrangement agreement dated Dec. 9, 2024, between the target and the company, and was approved by the target's shareholders at the annual general and special meeting which took place on Feb. 28, 2025.

Pursuant to the terms of the acquisition, each common share of the target was acquired and exchanged for 0.93 common share of the company resulting in issuance of 14,048,403 common shares. In addition, the company replaced the target's issued and outstanding options into 1,302,000 options to acquire the company's shares, and issued 4,503,846 warrants to acquire the same amount of the company's common shares replacing the target's issued and outstanding warrants. Upon completion of the arrangement, existing company's and target's shareholders own approximately 86 per cent and 14 per cent of the company, respectively.
