Number of securities:  five million common share units, each unit consisting of one common share in the capital of the company and one share purchase warrant

Purchase price:  five cents per unit

Warrants:  five million warrants to purchase five million shares

Warrant exercise price:  five cents for a period of 60 months from the date of issuance

Number of placees:  one placee

Total existing insider involvement:  five million (one insider)

The company issued a news release on March 14, 2024, to confirm the closing of the private placement.
