ESE ENTERTAINMENT ANNOUNCES CLOSING OF THE FIRST TRANCHE OF ITS PREVIOUSLY ANNOUNCED PRIVATE PLACEMENT OFFERING

ESE Entertainment Inc. has closed the first tranche of its previously announced non-brokered private placement financing through the issuance of 8,801,834 common shares of the company at a price of six cents per share for gross proceeds of $528,110.

The company intends to use the net proceeds from the first tranche for general working capital.

In connection with the first tranche, the company paid cash commissions of $35,448 to certain finders and issued 590,800 non-transferable finders' warrants. Each finder's warrant entitles the holder thereof to purchase one share at an exercise price of six cents per share for a period of 24 months from the date of issuance.

ESE also announces that it has agreed to settle aggregate indebtedness of $115,500 owed to various creditors through the issuance of an aggregate of 1,925,000 common shares of the company at an issue price of six cents per settlement share.

The offering and debt settlement remain subject to final acceptance from the TSX Venture Exchange. All securities issued or issuable in connection with the first tranche and the debt settlement will be subject to applicable hold periods imposed under applicable securities legislation, including a hold period of four months and one day from the date of issuance.
