The TSX Venture Exchange has accepted for filing an agreement dated Dec. 3, 2025, between the company and two arm's-length parties, whereby the company will acquire 100-per-cent undivided interest in three mining licences, located in the province of Newfoundland and Labrador.

By way of consideration, the company will issue 650,000 common shares to the vendors.

The vendors will retain a 2.0-per-cent net smelter return (NSR) royalty on the licences. The company may purchase up to 1 per cent of the royalty at any time for $1-million.
