The TSX Venture Exchange has accepted for filing an agreement dated Dec. 3, 2025, between the company and three arm's-length parties, whereby the company will acquire a 100-per-cent undivided interest in 13 mining licences located in the province of Newfoundland and Labrador.

By way of consideration, the company will issue 3.8 million common shares to the vendors.

The vendors will retain a 2.0-per-cent net smelter return (NSR) royalty on the licences. The company may purchase up to 1 per cent of the royalty at any time for $1-million.
