VOLATUS AEROSPACE INC. ANNOUNCES $20 MILLION BOUGHT DEAL PUBLIC OFFERING
Volatus Aerospace Inc. has entered into an agreement with Stifel Nicolaus Canada Inc. to act as lead underwriter and sole bookrunner on behalf of a syndicate of underwriters to be confirmed (together with the lead underwriter) pursuant to which the underwriters have agreed to purchase from treasury, on a bought deal basis, 33.35 million common voting shares in the capital of the company at a price of 60 cents per offered share for aggregate gross proceeds to the company of $20.01-million.
The company has granted the underwriters an option exercisable in whole or in part at any time and from time to time for up to 30 days following the closing date (as defined below) to purchase up to an additional number of offered shares equal to 15 per cent of the number of offered shares sold pursuant to the offering at a price per additional share equal to the issue price to cover overallotments, if any, and for market stabilization purposes.
The company intends to use the net proceeds for development of the company's Mirabel manufacturing hub, research and development of drone technologies to support the defence sector, potential acquisitions related to the defence sector, capital expenditures, and working capital and general corporate purposes.
The offering is expected to close on or about Nov. 26, 2025, and is subject to certain conditions, including, but not limited to, the receipt of all necessary approvals, including the conditional approval of the TSX Venture Exchange.
The company has agreed to pay the underwriters a commission of 6 per cent on the gross proceeds of the offering.
