Number of shares:  1,511,400 common shares; 1,883,200 flow-through (FT) shares; 4.5 million charity flow-through (CFT) shares; 6,978,500 critical minerals charity flow-through (CMCFT) shares

Purchase price:  28 cents per common share; 35 cents per FT share; 44.8 cents per CFT share; 47.6 cents per CMCFT share

Number of placees:  16 placees

Total existing insider involvement:  1,342,800 FT shares; 107,400 common shares (five insiders)

Total pro group involvement:  485,400 FT shares (three pro groups)

Finder's fee:  $181,608

The company issued a news release on Dec. 21, 2023, confirming the closing of the private placement.
