NorthIsle adds Fernandez as director, two advisers

NORTHISLE ANNOUNCES ADDITIONS TO BOARD AND ADVISORY TEAM

NorthIsle Copper and Gold Inc. has added several additions to its board of directors and advisory team, including:

  • Gerardo Fernandez -- director;
  • Dr. Gillian Davidson -- strategic adviser;
  • Maurice Tagami -- process design and metallurgical adviser.

Gerardo is a highly experienced executive with a track record of successful execution across both corporate and operational roles in the mining sector. Gillian brings more than 25 years of experience in sustainability and will be an invaluable resource to our team as we advance the North Island project through the permitting process in B.C., while maintaining our focus on building meaningful, long-term relationships with first nations and local communities. Maurice has over 40 years of experience in mining and mineral processing and we are privileged to be able to draw on his expertise as we continue to further optimize and de-risk the North Island process design."

Gerardo Fernandez is currently the chief development officer of Allied Gold Corp. and serves on the board of directors of Silver Mountain Resources Inc. Mr. Fernandez was previously senior vice-president, corporate development, of Yamana, having worked in several leadership positions in operations, strategic planning and project development. Mr. Fernandez holds a masters of business administration (Nevada, United States), degrees in civil mining engineering, and a BSc, engineering, from the University of Chile.

Dr. Gillian Davidson has over 25 years of experience as an internal and external adviser regarding sustainability, ESG (environmental, social and governance) and responsible supply chains. Dr. Davidson was the head of mining and metals for the World Economic Forum from 2014 to 2017, where she led global and regional engagement and multistakeholder initiatives to advance responsible and sustainable mining. From 2008 to 2014, she was director of social responsibility at Teck Resources Ltd. and previously held senior roles related to community development, environment, and natural resources as a consultant and in government. Dr. Davidson has an honours master of arts in geography from the University of Glasgow, a PhD in development economics and geography from the University of Liverpool, and is an alumna of the Governor General of Canada's Leadership Conference. Dr. Davidson is the chair of Global Battery Alliance and serves on the board of directors of Lundin Gold Inc. She was a former non-executive director of New Gold Inc. until its acquisition in 2026.

Maurice Tagami has over 40 years of experience in mining and mineral processing. Mr. Tagami holds a degree in metallurgical engineering from the University of British Columbia and is a professional engineer with APEGBC and a fellow of the Canadian Institute of Mining. During his career, Mr. Tagami has had extensive mining operations, engineering and design, start-up and commissioning, project development, project management, and strategic planning experience. Mr. Tagami is a proven independent board director of publicly traded companies with a strong background and experience in technical matters, corporate governance, ESG, and financial oversight, driving organizational growth through innovative strategies and effective leadership. Mr. Tagami currently serves on the board of directors of Freegold Ltd.

Issuance of Share-based compensation

NorthIsle also announces that the company's board of directors has approved the issuance of 212,300 stock options pursuant to the company's incentive stock option plan. The options provide for the purchase of an aggregate of 212,300 common shares of the company at an exercise price of $4.28 per share, which is the closing price for the common shares on the TSX Venture Exchange as of Aug. 24, 2026. All of the options have a five-year term. Thiry thousand options have a vesting schedule of 50 per cent on grant and 50 per cent on the one-year anniversary, while the balance vest one-third per year commencing on Aug. 24, 2027.

The board of directors has also approved the issuance of 26,700 deferred share units (the DSUs) to eligible directors, pursuant to the company's share unit plan. The DSUs will vest on Aug. 24, 2027.
