The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 16, 2023.

Number of shares:  8,130,551 shares

Purchase price:  28.5 cents per share

Warrants:  8,130,551 share purchase warrants to purchase 8,130,551 shares

Warrant exercise price:  45 cents for an 18-month period, subject to an acceleration clause

Number of placees:  40 placees

Total existing insider involvement:  795,701 (four insiders)

Total pro group involvement:  20,000 (one insider)

Finder's fee:  $38,380.93

The company issued a news release on Jan. 25, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
