UNIDOC ANNOUNCES LIFE OFFERING

Unidoc Health Corp. has arranged a non-brokered private placement listed issuer financing exemption offering for total gross proceeds of up to $500,000, consisting of up to two million units of the company at a price of 25 cents per unit.

Each unit will consist of one common share in the capital of the company and one-half of one transferable common share purchase warrant. Each warrant will entitle the holder to acquire an additional common share at a price of 35 cents for a period of 24 months following the closing of the offering.

The company plans to use the proceeds from the offering for inventory, marketing and investor relations services, working capital, and general corporate purposes.

The units will be offered by way of the listed issuer financing exemption under Part 5A of National Instrument 45-106 (Prospectus Exemptions) in the province of British Columbia. Pursuant to NI 45-106, the securities forming part of the units issued to Canadian resident subscribers under the offering will not be subject to resale restrictions.

The offering is expected to close on or about April 11, 2025, or such other date that is within 45 days from April 4, 2025, as the company may agree.
