Verses AI Inc. has arranged an offering of securities in Canada under the base shelf prospectus of the company receipted on Sept. 26, 2024, and in the United States pursuant to a U.S. registration statement on Form F-10, declared effective by the U.S. Securities and Exchange Commission on Oct. 1, 2024 (file No. 333-282301), which includes the base shelf prospectus.

The offering is expected to be priced in the context of the market, with the final terms of the offering, including the specific securities to be offered, to be determined at the time of pricing.
