Plan of arrangement

The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of Arcus Development Group Inc. by Core Silver Corp. by way of a plan of arrangement under the provisions of the Business Corporations Act (British Columbia).

Pursuant to a special resolution passed by the shareholders of Arcus on Aug. 25, 2026, Arcus and Core Silver have completed a plan of arrangement on Sept. 15, 2026, resulting in Core Silver acquiring all of the issued and outstanding common shares of Arcus on a 1:1 basis.

Delist

As a result of the plan of arrangement being completed, there will be no further trading in the shares of Arcus after the close of business on Sept. 15, 2026, and the shares of Arcus will be delisted.
