ADAMERA CLOSES SECOND TRANCHE OF FLOW-THROUGH PRIVATE PLACEMENT AND PLANS TO RAISE $360,000 FOR WORKING CAPITAL

Adamera Minerals Corp. has closed the second and final tranche of the flow-through private placement as announced on June 15, 2026.

In the second tranche, the company raised $319,900.05 from the sale of 2,132,667 flow-through units at 15 cents per FT unit. Total funds raised from first and second tranches are $632,400.05 from the sale of 4,216,000 shares. Each FT unit consists of one common share and one-half common share purchase warrant. Each full warrant is exercisable at a price of 40 cents for a period of two years from the date of issuance to purchase a non-flow-through share. If the closing market price of the company's common shares on the TSX Venture Exchange is 40 cents or more over a period of 10 consecutive trading days at any time after the date that is four months and one day after the respective closing, the warrants will expire on the 30th day after the 10 consecutive trading days at or above 40 cents unless exercised by the holder on or before the accelerated expiry date.

All securities associated with the second tranche are subject to a four-month hold expiring on Nov. 29, 2026. The second tranche financing is subject to a cash finder's fee of $1,995.

Flow-through funds will be used for qualifying Canadian exploration expenditures on the company's newly identified gold, copper and zinc prospects on the South Hedley project in Southern British Columbia and may be eligible for the 30-per-cent critical mineral exploration tax credit.

In addition, the company announces that it is planning to raise $360,000 for working capital at a price of 10 cents per unit. Each unit will consist of one common share and one warrant. Each warrant is exercisable at a price of 15 cents for a period of three years from the date of issuance. If the closing market price of the company's common shares on the exchange is 20 cents or more over a period of 10 consecutive trading days at any time after the date that is four months and one day after the respective closing, the warrants will expire on the 30th day after the 10 consecutive trading days at or above 20 cents unless exercised by the holder on or before the accelerated expiry date.
