The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 17, 2023, and April 21, 2023.

Number of shares:  18,333,333 shares

Purchase price:  three cents per share

Warrants:  9,166,666 share purchase warrants to purchase 9,166,666 shares

Warrant exercise price:  five cents for a three-year period

Number of placees:  15 placees

Total existing insider involvement:  733,333 (one insider)

Finder's fee:  $8,700 cash and 35,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of five cents for period of three years from the date of issuance.

The company issued a news release on May 17, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
